1. Commercial part
1.1 Price
The total price for the delivery of equipment and service in scope of supply amounts to:
According to the machine that you needed.
Price to be understood FOB China port, China, including packing.
1.2 Terms of payment
35% of the contract value to be paid cash upon signature of the contract.
60% of the contract value to be paid before delivery.
5% of the contract value to be paid after test-run.
1.3 Time of delivery
Under the condition that Buyer provides in good time all the necessary import licenses and
transfer permits, civil construction terminated in time, and considering the present
manufacturing and transport conditions, the delivery time, calculated from the date of
entering into force of the contract up to delivery from Beijing factory will be 6 months.
A contract will come into force when all of the following conditions are fulfilled:
a) Signing of the contract
b) Receipt of the down payment
1.4 Exclusions
Not included in our price are all services and supplies not specifically mentioned, mainly, but
not limited to:
* authorities approval for the construction and operation of the plant.
* all services and supplies outside Battery Limits.
* all pipework outside Battery Limits and connecting piping inside
* electrical installation, installation material and cabling inside and outside Battery
Limits, except MCC/OCC for equipment supplied.
* erection and installation work (labor) and installation material.
* transformers + sub-stations
* hook-up from power line to transformer
* insurance for erection and commissioning.
* taxes and custom duties
* water well drilling and pumps

* boiler and boiler equipment
* roads, fences, other infrastructure not otherwise specified
* laboratory, workshop
* storage for raw material and bagged product.
* storage facilities/tanks for chemicals
* water and electricity for construction purposes.
* all utilities and raw material for testing, commissioning and operating the plant.
* all social facilities for the operation personnel.
* first aid and medical services.
* civil engineering.
* civil construction.
* indoor and outdoor lighting.
* lightning protection.
* fire fighting equipment.
* lifting equipment and tools for repair, maintenance and operation.
* obtaining of resident and working permits for the expatriate personnel.
* local accommodation and board for our personnel shall be borne by the customer.
1.5 Warranties
Supplier will give the customer mechanical warranty for the equipment and will also
guarantee the plant capacity, the quality of the end-product and the essential consumption
figures based on the figures stated in the design Basis. The mechanical warranty shall be12
months after start-up of the system or 18 months after arrival of the equipment, whichever
occurs earlier.
1.6 Secrecy
The information contained in this proposal has been prepared for and submitted in
confidence and includes our confidential technical information. Therefore, this proposal is
furnished with the understanding that it shall be used internally and solely for the specific
purpose for which it has been delivered and no part of this document, or information
contained herein, shall be published or distributed to others or used for purposes other than
as aforesaid without our prior written consent.
1.7 Installation
Supervision of installation and commissioning will be provided by the seller which will need
2-3 engineers for 60 days. The buyer should bear the Round-trip air tickets, accommodation,
security,local travel and interpreter if non-English speaking.Should the above stated period
for the delegation of our personnel be exceeded, only if the delay is caused by the end user’s
problem, the buyer would pay additional cost. The daily man-rate is USD200.
Welding should be done by local workers, and welding machine and welding material should
be provided by the buyer.
